How does Huntington govern and control its use of AI?

Huntington governs AI in three layers. The board Technology Committee 'oversees the strategy and implementation of AI', per the March 2026 proxy, which also says the bank scopes AI use cases for colleagues with oversight from the board, the Risk Oversight Committee and the Technology Committee after shareholders asked about board oversight of AI. In management, an Artificial Intelligence Risk Committee sits among the operational-risk committees; the 2025 10-K names seven such committees and the Q1 and Q2 2026 10-Qs name eight, adding a Regulatory and Data Oversight Committee. CFO Zach Wasserman said in January 2026 that use cases are prioritised by risk level and higher-impact applications require human oversight. The 2025 10-K carries a full AI risk factor: model output may be 'incomplete, inadequate, misleading, biased, poor-quality or otherwise flawed', and AI is subject to fair lending, consumer protection, privacy and other laws. The chairman's letter says moving with urgency 'must be balanced with responsibility, security, and trust'. Huntington has not published AI principles or a responsible-AI report.[1][2][3][4][5][6]

What AI risks does Huntington disclose?

The 2025 10-K lists 'We use AI in connection with our business and operations, which exposes us to inherent risks that may expose us to material harm' as a risk factor. It says AI models may be 'incorrectly or inadequately designed or implemented' and trained on data whose output may be 'incomplete, inadequate, misleading, biased, poor-quality or otherwise flawed', and that there is no assurance AI will be 'successfully adopted and deployed by our colleague base'.[2][6]

The same risk factor names the laws AI already falls under, 'fair lending, consumer protection, intellectual property, cybersecurity, data privacy, and equal opportunity', warns that the bank may not anticipate new AI rules, and flags liability if it lacks rights to the data, algorithms or output its AI relies on. The cybersecurity section adds that threat actors 'may enhance their efforts through the use of AI'.[2][6]

Before the merger closed, Cadence Bank's 2024 10-K, filed by Huntington as an 8-K exhibit in December 2025, listed generative AI among Cadence's operational risks. The Q2 2026 10-Q cites AI developments as raising the sophistication of cyberattacks.[8][4]

Outward-facing guidance follows the same line. Huntington's 2026 threat report for business clients says AI is a 'force multiplier' for attackers and defenders and warns that unapproved 'shadow' AI creates data exposures; its consumer guidance tells customers AI 'should be used as a supplement—not a substitute—for professional guidance' and not to upload personal financial documents to free AI tools.[9][10]
