Who are Happen Bank's (formerly LendingClub's) main competitors?

LendingClub is now Happen: the holding company became Happen, Inc. and began trading on Nasdaq as HAPN on June 22, 2026, and its bank, formerly LendingClub Bank, is Happen Bank, N.A. Its FY2025 10-K, filed under the LendingClub name, names no rival; it says the company competes "with a broad array of traditional and new financial services providers, including banks and non-banks" and that competition is rising as technology such as artificial intelligence enables innovation and more companies obtain bank charters. In its core business, personal loans, which customers largely use to address credit card debt, the closest rivals are the other fintech lenders: PYMNTS grouped LendingClub with Upstart, SoFi and Affirm in May 2026, when SoFi originated $12.2 billion of loans and Upstart $3.4 billion in the first quarter against LendingClub's $2.7 billion. Upgrade, with about $53 billion of credit delivered to 8.5 million customers, applied for an industrial loan company charter in October 2026. For deposits, CEO Scott Sanborn names Goldman Sachs' Marcus and SMBC's Jenius Bank as one-time competitors and says more fintechs, including Affirm, Chime, Revolut, bunq and Nubank, are seeking charters; he calls Happen's bank charter, held since 2021, a "six-year head start". Happen reported $3.34 billion of originations, up 26%, and $11.5 billion of deposits in the third quarter of 2026. On AI, Upstart says more than 90% of its loans are fully automated and Happen reports a record above-90% automation rate for issued loans.[1][2][3][4][5][6][7][8]

What does Happen Bank say about its competition?

The FY2025 Form 10-K, filed in February 2026 by LendingClub Corporation before the rename, says: "The financial services industry is highly competitive and rapidly changing. We compete with a broad array of traditional and new financial services providers, including banks and non-banks. Some of these competitors have more resources and/or less regulatory oversight, and some may have lower cost structures." It adds that competition is increasing "as technology (such as artificial intelligence) enables efficiencies and innovations, additional companies obtain bank charters and non-banks expand the scope of their products and services".[2]

The risk factors go further: many competitors "have significantly greater financial resources and may have access to less expensive capital", some can offer borrowers lower rates, and competition "may drive us to take actions that we might otherwise avoid, such as lowering interest rates or fees on loans or raising interest rates on deposits".[2]

CEO Scott Sanborn told Banking Dive in May 2026 that he faces more fintech competitors that have received or are applying for charters, and that the bank targets the "motivated middle: high-FICO, above average income, digitally savvy consumers". After the third quarter he described Happen's position as a "six-year head start" over fintechs that applied for charters in the previous 18 months.[3][6]
