PNC CEO Demchak expects AI to drive more bank mergers, especially among small banks

For the ceo of a community bank

PNC CEO Bill Demchak said in an interview last week at the Money20/20 conference in Las Vegas that banks that do not own their compute will fall behind as AI advances, which he expects to drive more mergers and acquisitions, according to Banking Dive, published Oct. 27.1

Demchak said many banks won't be able to reach those efficiencies because they are "still running mainframes," said others have made big bets on the cloud, and said "some people just don't have the investment dollars."1 He said PNC wants its own compute and its own data, and that he does not want to share them with anybody else.1

Demchak said PNC's AI growth plans will cost "hundreds of millions to save billions" annually, and that he expects the change to cause "a lot of mergers over the next handful of years, particularly with small banks."1

Demchak said that if PNC did a large deal and spent two or three years vetting everything onto the same platform, "you'd have to take a timeout on AI," and he said "this game could be over in two years."1

Demchak said "meaningful progress" from AI should come in the next three years and that he plans to share a roadmap with stakeholders before then; he did not give a date.1

He said PNC will build and own its AI applications but will buy tech parts that fit directly with no lock-in risk, citing a third-party user interface on its mortgage application system that the bank "turned on in a weekend."1

Why it matters

For smaller banks, the CEO of a large regional peer is framing ownership of compute and data as the line between staying independent and becoming a target. Executives weighing cloud or vendor-hosted AI should check which layers they control, and those considering acquisitions should factor in the years of platform integration Demchak describes.

What’s next

Demchak said he plans to share a roadmap of PNC's specific AI goals with stakeholders within the next three years; the source gives no date.1

From the brief

Our take. Demchak expects banks still running mainframes to become targets within a few years, while PNC spends hundreds of millions to save billions annually. Your AI budget is now your independence plan.

Action. Technology strategy: List which AI workloads and data sit on owned versus vendor systems, and check exit terms and lock-in clauses in each contract.

What our records say

PNC is building its own "AI factory" of GPU compute, data centres and large and small language models, which CEO Bill Demchak announced in June 2026.1 PNC's CEO Bill Demchak told a Morgan Stanley conference in June 2026 that the bank is "building our own AI factory", acquiring data centres, buying Nvidia chips and building its own language models.12
