## How does FNB govern AI, and how has its disclosure changed?

FNB's AI governance is set out in its 2026 proxy statement, filed March 25, 2026. The Board Risk Committee oversees FNB's AI governance and decision-making; an Artificial Intelligence Policy and a Model Risk Management Policy cover transparency, model explainability, bias mitigation and governance standards; and the director of AI and innovation works with a Data and AI Governance Committee and a Model Risk Management Committee, is building AI training for all employees, and is helping develop an AI curriculum for the board with outside experts. Two directors have AI training from universities, one an MIT certificate. The disclosure is new. The 10-K for 2024, filed February 2025, mentioned artificial intelligence only in passing and had no AI risk factor, and the 2025 proxy mentioned AI only among achievements and in a director biography. AI first entered FNB's risk list in the third-quarter 2025 10-Q, as 'reliance on third-party vendors and artificial intelligence', and the 10-K for 2025, filed February 2026, added a full risk factor on heavy reliance on models, AI and generative AI, covering biased outputs, third-party models, fair lending and privacy. FNB publishes no AI principles document, model inventory or bias-testing results. ([F.N.B. ## What does FNB not publish about responsible AI?

FNB has no public AI principles document, no model inventory and no fairness or bias-testing results. Its 10-K acknowledges that generative AI 'may sometimes produce inaccurate, incomplete, biased or misleading outputs' and that it may depend on how third parties train their models, 'matters over which we may have limited visibility'. ([F.N.B. Corporation (SEC filings)](https://www.sec.gov/Archives/edgar/data/37808/000003780826000007/fnb-20251231.htm))

Customer-facing AI that will test the framework is coming: Insight 360 recommends products from aggregated data and is due by the end of 2026, and AI already drives Common app insights and Opportunity IQ leads. FNB has not said how these models are validated for fair-lending purposes.
